Terms of Service

The short version. Cipher Tools is software you licence, not buy. One key, one device at a time, for as long as your plan is active. You are responsible for what you do with it and for following the rules of every third-party site you use it with. All sales are final; there are no refunds, as set out in our Refund Policy. We can suspend keys that break these terms.

1. The agreement

These Terms of Service ("Terms") are a contract between you and Intervest Technologies LLC, doing business as Cipher Tools ("Cipher Tools", "we", "us"). They govern your use of the Cipher Tools website at ciphertools.app, the Cipher Tools desktop application, our licensing and mail services, and everything else we provide (together, the "Service").

By creating an account, ticking the acceptance box at checkout, entering a licence key, or using the Service in any way, you agree to these Terms, our Privacy Policy, our Refund Policy and our Acceptable Use Policy, all of which are part of this agreement. If you do not agree, do not use the Service.

Subject to these Terms and payment of the applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the Cipher Tools application on one device at a time for the duration of your plan. A licence key identifies your plan; it is not a sale of the software and no ownership passes to you.

Your key binds to the first device that activates it. You may release it from a device in the application's settings (a limited number of times per rolling period, shown in the app) or from your dashboard, then activate it elsewhere. Circumventing the device limit is a breach of these Terms.

Some features run on our servers on your behalf (for example request-based tasks and hosted mailboxes). Your licence covers reasonable use of those services as described on our website. We may set fair-use limits and may throttle or pause usage that degrades the Service for others.

We do not review, endorse, or control how you use the Service, and we do not guarantee that any particular use is lawful or permitted where you are.

6. Third-party sites and services

The Service interacts with third-party websites and relies on third-party providers (for example Stripe for payments, Discord for sign-in, SMS and proxy providers you configure). We do not control those parties. Third-party sites change their systems without notice, and a module that works today may stop working tomorrow. We maintain a public status board and update modules as we are able, but we do not promise that any module will be available, effective, or updated within any timeframe. Third-party providers' own terms apply to your use of them.

Licence keys are digital goods delivered instantly, so all purchases are final and non-refundable to the fullest extent permitted by law, as set out in our Refund Policy. By accepting these Terms at checkout you request immediate delivery and acknowledge that any statutory right to withdraw is lost once your key is issued. Billing errors (such as a duplicate charge) are corrected on request. If you dispute a charge with your bank or card issuer instead of contacting us, we will suspend the associated key and account, contest the dispute with our records of your acceptance and usage, and may decline to do business with you afterwards.

9. Suspension and termination

We may suspend or revoke your licence key and account, with or without notice, if we reasonably believe you have breached these Terms or the Acceptable Use Policy, if your payment is disputed or reversed, if required by law, or to protect the Service or other customers. Where the breach is minor and curable we will normally tell you first.

You may stop using the Service at any time. Cancelling a subscription is done from your dashboard; deleting your data can be requested as described in the Privacy Policy.

On termination your licence ends and you must stop using the software. Sections that by their nature should survive (including 4, 5, 8, 11 to 16) survive termination.

10. Changes to the Service and these Terms

We are constantly changing the Service, including adding, changing, and removing modules and features. We may also change these Terms. If a change is material we will notify you by email, Discord, or a notice on the website or in the application, and give you a reasonable period before it takes effect. Continuing to use the Service after that date means you accept the new Terms. The current version is always at ciphertools.app/terms and identified by the version date at the top.

11. Intellectual property

The Service, including the software, website, designs, text, logos and all related intellectual-property rights, belongs to Cipher Tools and its licensors. Apart from the limited licence in Section 3, nothing in these Terms gives you any right in the Service. Feedback you send us may be used without obligation to you.

The data you generate with the Service (for example account credentials and exports stored on your device) is yours. We claim no rights in it.

12. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any module will work with any third-party site, or that any particular outcome (including the successful creation of any account) will be achieved. Some jurisdictions do not allow the exclusion of certain warranties; those exclusions apply to you only to the extent permitted by law.

13. Limitation of liability

To the fullest extent permitted by law, Cipher Tools and its owners, staff and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, or for the cost of substitute services, arising out of or related to the Service or these Terms, however caused and under any theory of liability, even if we were advised of the possibility of such damages.

Our total liability for all claims relating to the Service in any twelve-month period will not exceed the greater of the amount you paid us in that period or USD 100. Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud.

14. Indemnity

You will defend, indemnify and hold harmless Cipher Tools and its owners, staff and suppliers from any claim, demand, loss, liability, damage or expense (including reasonable legal fees) arising from your use of the Service, your breach of these Terms or the Acceptable Use Policy, your violation of any law or third-party right, or any content or data you supply.

15. Governing law and disputes

These Terms are governed by the laws of the United States of America and, to the extent state law applies, the laws of the state in which Intervest Technologies LLC is organized, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally within 30 days of written notice to [email protected] will be brought exclusively in the state or federal courts located in that state, and you consent to their jurisdiction. You and Cipher Tools each waive any right to a jury trial and to participate in a class or representative action to the extent permitted by law. If you are a consumer in a jurisdiction that grants you non-waivable rights (for example the EU or UK), nothing here removes those rights.
