Affiliate Program Terms

1. The agreement

These Affiliate Program Terms ("Affiliate Terms") are an agreement between you and Intervest Technologies LLC, doing business as Cipher Tools ("Cipher Tools", "we", "us"), covering the Cipher Tools referral program (the "Program"). They add to, and do not replace, the Terms of Service, Privacy Policy and Acceptable Use Policy, which continue to apply. By ticking the acceptance box on your dashboard and taking a referral link you agree to these Affiliate Terms.

2. Joining

• Anyone with a Cipher Tools account in good standing may join. You do not need an active licence to refer.
• You must be able to receive payments lawfully where you live and be able to enter a binding contract.
• We may decline, pause or remove any affiliate at our discretion, including where we suspect abuse.
• Your referral link is personal to you. Do not share your affiliate login or transfer your link to someone else.

3. How referrals are attributed

• Your link (ciphertools.app/r/CODE) places a referral cookie on the visitor's browser that lasts 30 days. The last link clicked wins.
• A customer is attributed to you when they complete their first ever purchase while that cookie is present. Attribution is permanent: later payments from that customer stay credited to you.
• Only new customers count. Someone who has already bought a Cipher Tools licence, or who already has a referrer, cannot be attributed to you.
• Self-referrals do not count. Purchases made by you, from your own accounts, or arranged to route your own spending through your link earn nothing and are grounds for removal.
• We rely on our own records to decide attribution. Cookies blocked or cleared by the visitor, private windows, and purchases made without the cookie present will not be attributed, and we cannot add them afterwards.

4. Commission

• You earn 20% of the net amount we actually collect on every payment from a customer attributed to you: their first payment and every renewal, for the life of their subscription.
• "Net amount" means the price after any discount (including the buyer's 10%) and excludes taxes we collect on behalf of a government. Payment-processor fees are not deducted.
• Commission is calculated in US dollars, rounded down to the cent, at the moment the payment succeeds.
• Nothing is earned on failed payments, trials, free keys, manually issued keys, or payments later reversed (see Section 6).
• We may change the commission rate or the buyer discount for future payments on notice (Section 10). Payments already made are not affected.

5. The buyer's discount

A customer who checks out with your referral cookie receives 10% off their first payment, applied automatically at checkout. The referral discount cannot be combined with other promotion codes. Renewals are charged at the normal price.

6. Holds and clawbacks

• Each commission is pending for 30 days after the payment that earned it, which covers our refund and chargeback window. It then becomes available to withdraw.
• If a payment is refunded, disputed, charged back, or found to be fraudulent, the commission it earned is voided. If it has already been paid out, the amount is deducted from your future commissions.
• If we disable your affiliate account for breach of these terms, unpaid commissions are forfeited.

7. Payouts

• Payouts are made manually by us on request. Save a payout method on your dashboard, then click Request payout once your available balance is at least $20. One request can be open at a time.
• Supported methods: PayPal (account email), Cash App ($cashtag), Venmo (@username), Solana, Bitcoin and Ethereum (a wallet address on the native chain).
• We aim to send payouts within 30 days of a request. Crypto payouts are converted at the market rate at the time of sending, and network fees are deducted from the amount.
• You are responsible for the accuracy of your payout details. We cannot reverse a payment sent to an address or account you gave us, and a payout returned to us because of wrong details is re-credited to your balance minus any fees.
• We may withhold or delay a payout while we investigate suspected abuse, disputed payments, or a chargeback affecting your referrals.
• Balances are not interest-bearing, are not transferable, and have no cash value except through a payout under these terms.

8. Promotion rules

You may promote Cipher Tools honestly, on your own channels, to people who want to hear from you. You must not:

• refer yourself, your own accounts, or purchases you fund or control;
• run paid search or social ads targeting "Cipher Tools", "ciphertools", our domain, or misspellings of them, or bid on our brand as a keyword;
• post your link on coupon, deal, or discount-code sites, or present it as an official Cipher Tools promotion;
• send unsolicited messages, spam, mass DMs, or post in communities where such promotion is not allowed;
• make misleading claims about the product, its results, its legality for any use, or your relationship with us, or imply that you are Cipher Tools or its staff;
• offer cash back, rebates, or other incentives to buyers in exchange for using your link;
• use cookie stuffing, forced clicks, iframes, redirects, or any technique that sets the referral cookie without a deliberate click on your link;
• use the Program in breach of the Acceptable Use Policy or any law.

9. Termination

• You can stop at any time by no longer sharing your link. Commissions already available will still be paid on request; pending commissions become available on their normal schedule.
• We may disable your affiliate account at any time for breach of these terms, the Terms of Service or the Acceptable Use Policy, for suspected fraud, or if the Program ends. On removal for breach, unpaid commissions are forfeited. If we end the Program without breach on your part, available commissions are paid out and pending ones are paid once their hold passes.

10. Changes

We may change these Affiliate Terms, the commission rate, the buyer discount, the hold period, the payout minimum or the payout methods. Material changes are announced on the website, in the application, on Discord, or by email, with a new version date at the top of this page. Changes apply to payments made after they take effect. Continuing to share your link after that date means you accept the new terms; if you do not, stop sharing your link and request any available balance.

11. General

• Relationship. You are an independent participant. Nothing here creates an employment, agency, partnership or joint-venture relationship, and you may not make commitments on our behalf.
• Limitation of liability. Our total liability to you under the Program is limited to the commissions properly earned and unpaid at the time of the claim. Sections 12 to 14 of the Terms of Service apply.
• Governing law. Section 15 of the Terms of Service applies to these Affiliate Terms.
